A. Products and services are provided by Intelligent Design Concepts, LLC.
I. Customer acknowledges that IDC-Repairs.com is owned and operated by Intelligent Design Concepts, LLC, located in Coatesville, IN.
II. Customer acknowledges that IDC-Repairs.com and Intelligent Design Concepts, LLC is not endorsed by, does not intend to be associated with, and does not speak on behalf of any manufacturer of Products that IDC-Repairs.com may repair.
III. Customer acknowledges that IDC-Repairs.com currently provides repair services in the Contiguous United States only.
I. Customer credit card payment information for a Repair Order shall be provided via the secure interface on IDC-Repairs.com before a Repair Order is generated. Note that IDC-Repairs.com uses a reputable third-party credit card processor (Stripe.com) to handle credit card transactions. Thus, IDC-Repairs.com will never have direct access to your credit card information input via the IDC-Repairs.com website.
However, due to the way Stripe handles transactions (the initial credit card authorization expires after 7 days), IDC-Repairs.com requires that the payment information be stored in your account, so that we can charge your account at the appropriate time. The payment information is stored on Stripe.com’s servers and not ours, so you can be assured that your payment information is safe.
With the payment information tied to your account, we can charge the correct amount upon shipment of your item(s) back to you. Otherwise, IDC-Repairs.com will have to manually collect your credit card payment information over the phone before we can send your repaired items back to you.
II. Upon repair and/or return shipment to Customer, the credit card provided by Customer will be charged per the Repair Order, or upon any subsequent agreement between Customer and IDC-Repairs.com.
III. In the event that a payment is denied for any reason, IDC-Repairs.com will contact Customer to make alternative payment arrangements.
C. Shipping Product units to/from IDC-Repairs.com.
I. All Product units sent to IDC-Repairs.com should be packed by Customer such that no damage occurs to the units during transit.
II. All Product units sent back to Customer will be shipped in the same package/box/container that IDC-Repairs.com received them in.
III. All Product units sent to IDC-Repairs.com shall have a copy of the Repair Order included within the package. Additionally, the Repair Order # must be plainly visible on the outside of the package.
IV. Repair Order units may be shipped to IDC-Repairs.com via UPS, FedEx, or USPS. However, in the experience of IDC-Repairs.com, UPS provides more reliability than the other carriers to our location.
V. Repair Order units may be shipped to IDC-Repairs.com in separate parcels, if necessary. However, IDC-Repairs.com respectfully requests that a copy of the Repair Order be included within each package, with some indication on each Repair Order as to which units are contained within the package. This helps IDC-Repairs.com keep better track of your units.
VI. IDC-Repairs.com is not responsible for Carrier delays, Carrier damage, or misdelivered packages. It is advised that Customers obtain both a tracking number and adequate insurance for their parcel(s).
VII. IDC-Repairs.com uses UPS Ground or USPS for outgoing packages. There is no shipping fee for units that are repaired per the Repair Order, and that can be shipped back in the same packaging the units were received in. UPS Second-Day Air, and UPS Next-Day Air can be arranged for an additional fee.
VIII. If the Customer wishes to have Carrier insurance for return shipping, this can be provided at an additional cost. Please indicate this option on the Repair Order.
IX. If the Customer’s package is not received by IDC-Repairs.com within 3 weeks of the date that the Repair Order was generated, IDC-Repairs.com reserves the right to cancel the Repair Order. No charge will be made to the Customer’s payment method.
D. Repair Authorization.
I. Customer authorizes IDC-Repairs.com and/or its affiliates, successors, and assigns, to repair any and all Product unit(s) sent to, and/or received at, the address designated by IDC-Repairs.com.
II. IDC-Repairs.com reserves the right to refuse acceptance of packages with no Repair Order # plainly visible on the outside of the package.
III. IDC-Repairs.com reserves the right to not repair units that do not have a corresponding Repair Order.
E. Product unit(s) received for repair that are unrepairable and/or are not in need of repair.
I. In the event that IDC-Repairs.com receives Product unit(s) that are, in IDC-Repair.com’s sole discretion, determined to be unrepairable by IDC-Repairs.com or are in working condition upon testing, IDC-Repairs.com shall inform Customer orally (via telephone) or in writing of such finding(s).
II. Customer shall have the option of having unrepairable unit(s) and/or unit(s) not in need of repair returned to them for a flat shipping and handling fee of $30.00 per unit, or waiving return of the unit(s) to the Customer.
III. In the event that the Customer elects to waive return of the unit(s) to the Customer, the Customer will not be charged a repair, diagnosing, testing, or shipping fee. IDC-Repairs.com shall then have the option of scrapping or disposing of the waived units in its sole discretion.
F. Time to complete repair(s) within quoted and/or invoiced price.
I. Although IDC-Repairs.com will make every reasonable attempt to complete all repairs in a timely manner for the price listed on the Repair Order, troubleshooting and/or repairing certain issues can become time consuming to a degree far beyond that of the original estimate. In these rare cases, IDC-Repairs.com will contact Customer via phone or email to determine whether to conduct further research on a specific issue in order to diagnose/repair the Product at an additional cost, or to return the unit to the Customer for a flat fee of $30.00.
II. IDC-Repairs.com reserves the right to charge additional fees for assemblies which are missing parts (such as, for example, relays, integrated circuits, etc) from sockets located on the assemblies.
III. Absent the exceptional circumstances of (F)(I) and (F)(II) above, all repairs will be performed per the flat rate determined on the order form, and shipped back to the Customer (i.e., repaired units placed into possession of UPS Ground or USPS) typically within 10-15 business days, unless prior arrangements have been made for expedited repair and/or shipping.
IV. Repair times may depend on a number of factors outside of IDC-Repairs.com’ control. While IDC-Repairs.com may provide an estimate of when repairs may be completed, IDC-Repairs.com cannot guarantee repair completion dates and will not be liable for any delays.
V. IDC-Repairs.com reserves the right to extend the expected repair time during periods of high volume. Under such circumstances, IDC-Repairs.com shall make clear notice of this temporary change on the IDC-Repairs.com website.
VI. All repairs will be performed in a first received, first repaired fashion. Exceptions are made for Repair Orders that include expedited processing.
G. Software will not be provided or modified for repair services.
I. IDC-Repairs.com will NOT replace or reprogram any computer chips on Products that contain proprietary software.
II. If a problem with a Product unit is due to a software issue, Customer will have to contact the original manufacturer or another repair facility for assistance.
IDC-Repairs.com values your privacy and promises not to sell your contact information to third party marketers.
However, other than the above, IDC-Repairs.com cannot guarantee that any aspect of any repair transaction will remain private.
I. Warranty and Disclaimer
I. Repaired Products under these Terms are warrantied against defects in materials and workmanship provided by IDC-Repairs.com for a period of 30 days from the date the repaired units are placed in the possession of the shipping Carrier. The Warranty does NOT cover acts of Customer or others including, but not limited to, improper use, improper installation, improper handling, acts of God, physical damage, etc.
II. For warranty service, please contact IDC-Repairs.com at service@IDC-Repairs.com with your Repair Order # and a description of the issue(s) you are having.
III. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDC-REPAIRS.COM, INTELLIGENT DESIGN CONCEPTS, LLC AND ITS AFFILIATES, WILL UNDER NO CIRCUMSTANCES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM PERFORMANCE OF ANY REPAIR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE; LOSS OF ACTUAL OR ANTICIPATED PROFITS (INCLUDING LOSS OF PROFITS ON CONTRACTS); LOSS OF THE USE OF MONEY; LOSS OF ANTICIPATED SAVINGS; LOSS OF BUSINESS; LOSS OF OPPORTUNITY; LOSS OF GOODWILL; LOSS OF REPUTATION; LOSS OF, DAMAGE TO, OR CORRUPTION OF DATA. IDC-REPAIRS.COM, INTELLIGENT DESIGN CONCEPTS, LLC AND ITS AFFILIATES SPECIFICALLY DO NOT WARRANT THAT IDC-REPAIRS.COM WILL BE ABLE TO REPAIR OR REPLACE YOUR PRODUCT.
IV. IF ANY PRODUCT SHOULD BE DAMAGED OR LOST WHILE IN IDC-REPAIRS.COM’s CUSTODY, IDC-REPAIRS.COM’s LIABILITY WILL BE LIMITED TO THE COST OF REPAIR OR REPLACEMENT OF THE AFFECTED PRODUCT. OTHERWISE, IDC-REPAIRS.COM’s LIABILITY FOR ANY AND ALL DAMAGE SHALL IN NO EVENT EXCEED THE PAYMENTS RECEIVED BY IDC-REPAIRS.COM FOR SERVICES PROVIDED PURSUANT TO THESE TERMS.
V. THE REMEDIES SET FORTH HEREIN SHALL BE YOUR SOLE AND EXCLUSIVE REMEDIES FOR ANY BREACH BY IDC-REPAIRS.COM UNDER THESE TERMS AND CONDITIONS.
J. Website and Pricing Errors
While IDC-Repairs.com will make every reasonable effort to make sure that the prices and information on the website are correct, in the event a product or service is listed with incorrect information due to typographical, photographic, or technical error, or error in pricing information received from our suppliers, IDC-Repairs.com shall have the right to refuse or cancel any Repair Orders placed for products or services with incorrect prices or incorrect terms.
K. Repair Parts
IDC-Repairs.com may use new, used, or reconditioned parts of equivalent or superior specifications in the repair of your Product. Parts or equipment removed and replaced as part of the repair become the property of IDC-Repairs.com.
L. Repair Services for Excluded Damage
In certain cases, IDC-Repairs.com Customer Service may allow Customer to return an IDC-Repairs.com repaired Product for Warranty Service and subsequently determine that the Product is not eligible for Warranty Service due to abuse or other types of damage not covered by the IDC-Repairs.com’s Limited Warranty. In such cases, Customer will be provided with a new Repair Order. Repair service will be provided upon payment of the Repair Order. If Customer does not pay the Repair Order amount or the $30 return shipping fee within 5 business days, IDC-Repairs.com will be unable to ship the Returned Product back to Customer. The sole obligation of IDC-Repairs.com will be to make the Returned Product available for pickup at our facilities for 10 business days.
M. Choice of Law
This Agreement shall be interpreted and construed in accordance with the laws of the State of Indiana, without regard to Indiana conflict of laws rules.
If a disagreement ever arises out of or relates to this agreement or any alleged breach, it will be resolved by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
O. No Waiver
No waiver of rights under these Terms by either party shall constitute a subsequent waiver of this or any other right under these Terms.
In the event that any of the Terms herein become or are declared to be illegal or unenforceable by any competent adjudicator, such term(s) shall be construed as nearly as possible to reflect the intention of the parties. All remaining terms of this Agreement shall remain in full force and effect.
Q. Entire Agreement
These Terms and Conditions (“Agreement”) constitute the entire agreement between the parties pertaining to the subject matter hereof, and any and all written or oral agreements previously existing between the parties are expressly canceled. Except as otherwise expressly provided in this agreement, any modifications of this Agreement must be in writing and agreed to by both parties.
R. Force Majeure
Neither party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure or delay is caused by: [a] acts of God; [b] flood, fire or explosion; [c] war, terrorism, invasion, riot or other civil unrest; [d] embargoes or blockades in effect on or after the date of this Agreement; [e] national or regional emergency; [f] strikes, labor stoppages or slowdowns or other industrial disturbances; [g] any passage of law or governmental order, rule, regulation or direction, or any action taken by a governmental or public authority, including imposing an embargo, export or import restriction, quota or other restriction or prohibition; [h] national or regional shortage of adequate power or telecommunications or transportation facilities, or [i] an inability, after reasonable efforts, to procure suitable repair parts for a Customer Repair Order.
S. Data Backup
YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING AND BACKING UP ALL INFORMATION, DATA, TEXT OR OTHER MATERIALS (COLLECTIVELY “CUSTOMER DATA”) AND SOFTWARE STORED ON YOUR PRODUCT UNIT(S) AND STORAGE MEDIA BEFORE ORDERING THE SERVICES. YOU ACKNOWLEDGE AND AGREE THAT IDC-REPAIRS.COM AND INTELLIGENT DESIGN CONCEPTS, LLC HAVE NO RESPONSIBILITY OR LIABILITY UNDER ANY CIRCUMSTANCE AT ANY TIME FOR ANY LOSS OR CORRUPTION OF CUSTOMER DATA OR SOFTWARE THAT MAY ARISE OUT OF THE SERVICES.
